การลงทุนพัฒนาและบริหารจัดการท่าเทียบเรือสาธารณะ

Abstract

The feasibility study of Project for Developing and Managing Public Ports has an objective to conduct an in-depth study for developing and managing a public port of Map Ta Phut Industrial Estate, Rayong Province, to reach ultimate goal of being the most effective port and the best benefits. Focal points of the study consisted of two aspects including 1) an analysis on legal matters, and 2) an analysis on financial matters. According to the legal matters, the big issues what it should be significantly considered are authority and conditions of management of the public port under the jurisdiction of Map Ta Phut Industrial Estate, occupancy and land use according to joint contract between The Industrial Estate Authority of Thailand and Rayong Bulk Terminal Company Limited, occupancy and land use (some areas) according to land lease contract between The Industrial Estate Authority of Thailand and NFC Fertilizer Public Company Limited, authority and conditions of private sector participation in port through joint venture, and the final issue of settlement of unresolved disputes between The Industrial Estate Authority of Thailand and some private companies which will be business partners in the future. The financial analysis had coped with best case analysis and base case analysis, apparently, results of the studies proved out the both are worthiness yet there are some even risks for consideration in terms of lack of demand for containers, cost of hiring port management company, and total amount of registered capital.

โครงการลงทุนพัฒนาและบริหารจัดการท่าเทียบเรือสาธารณะมีวัตถุประสงค์เพื่อศึกษาความเป็นไปได้ในเชิงลึกของการจะเข้าไปพัฒนาและบริหารจัดการในท่าเทียบเรือสาธารณะให้มีประสิทธิภาพและเกิดประโยชน์สูงสุด ทั้งนี้ ท่าเทียบเรือฯ ดังกล่าว ตั้งอยู่ในนิคมอุตสาหกรรมมาบตาพุด ต.มาบตาพุด อ.เมือง จ.ระยอง ภายใต้การครอบครองของ การนิคมอุตสาหกรรมแห่งประเทศไทย (กนอ.) โดยการศึกษาความเป็นไปได้ของโครงการฯ แบ่งออกเป็นสองส่วน คือ 1) การวิเคราะห์ทางกฎหมาย และ 2) การวิเคราะห์ทางการเงิน การวิเคราะห์ทางกฎหมาย มีประเด็นที่พึงพิจารณา คือ อำนาจและเงื่อนไขในการดำเนินงานกิจการท่าเทียบเรือสาธารณะในเขตนิคมอุตสาหกรรมมาบตาพุด การเข้าครอบครองและใช้ประโยชน์ในพื้นที่ตามสัญญาร่วมดำเนินงานระหว่าง กนอ. กับ บริษัท ท่าเรือระยอง จำกัด การเข้าครอบครองและใช้ประโยชน์ในพื้นที่ (บางส่วน) ตามสัญญาเช่าที่ดินระหว่าง กนอ. กับ บริษัท ปุ๋ยเอ็นเอฟซี จำกัด (มหาชน) อำนาจและเงื่อนไขในการร่วมลงทุนกับเอกชนเพื่อดำเนินกิจการท่าเทียบเรือสาธารณะ และประเด็นสุดท้าย คือ การระงับข้อพิพาทที่ค้างคาระหว่าง กนอ. กับเอกชนที่จะเข้าร่วมดำเนินงาน การวิเคราะห์ทางการเงิน ได้แบ่งการวิเคราะห์ออกเป็น 2 กรณี คือ กรณีที่ดีที่สุด (Best Case Analysis) และกรณีที่เป็นไปได้มากที่สุด (Base Case Analysis) ผลจากการศึกษาพบว่าทั้งสองกรณีคุ้มค่าแก่การลงทุน แต่อย่างไรก็ตามควรคำนึงถึงความเสี่ยงจากการขาดอุปสงค์การใช้บริการตู้คอนเทนเนอร์ ค่าจ้างบริษัทที่เข้ามาดำเนินงานบริหารท่าเทียบเรือฯ และจำนวนเงินของทุนจดทะเบียน
